Actually, they are two very different things.<\/p>\n<p>Let&#8217;s make it clear in this article where we will look at the two roles separately. The purpose is to establish once and for all the differences between <strong>corporate governance and management<\/strong>.<br \/>\n<a name=\"governance\"><\/a><\/p>\n<h2>Corporate governance role<\/h2>\n<p>Governance is the <strong>act of the management board<\/strong> meeting to take decisions about <strong>company direction<\/strong>.<\/p>\n<p>Tasks such as supervision, strategic planning (which has nothing to do with <a href=\"https:\/\/twproject.com\/blog\/plan-new-project\/\" target=\"_blank\" rel=\"noopener\">project planning<\/a>), decision making, and financial planning fall under <strong>corporate governance activities.<\/strong><\/p>\n<p>The board is responsible for creating the <strong>corporate charter<\/strong>, which is a set of fundamental policies that outline the mission, values, vision, and structure of the organization. As needed, the board creates and approves key policies.<br \/>\n<a name=\"questions\"><\/a><\/p>\n<h3>Corporate governance: 7 questions to understand it<\/h3>\n<p>In a paper titled &#8220;<em><a href=\"https:\/\/wyoextension.org\/parkcounty\/wp-content\/uploads\/2015\/12\/Difference-between-Governance-Management.pdf\" target=\"_blank\" rel=\"noopener\">Distinguishing Governance from Management<\/a><\/em>&#8220;, the author Barry Bader asks seven questions to establish whether a factor falls under governance and is therefore the board&#8217;s responsibility:<\/p>\n<ol>\n<li>Is it &#8220;big&#8221;? The greater the impact of a decision, the more of a role the board should play in forming and understanding the action and its possible consequences.<\/li>\n<li>Does it involve the future? The board imparts the long-term vision by providing a master plan for the organizational structure.<\/li>\n<li>Is it the core of the mission? Corporate governance is custodian of the corporate mission.<\/li>\n<li>Is a high level policy decision needed to settle a situation? Decisions of this kind are usually those that require compliance with laws or regulations, those that may affect accountability, etc.<\/li>\n<li>Is a red flag waving? The board should focus on what are considered &#8220;trends.&#8221; As a rule of thumb, a factor or indicator becomes a trend when it repeats for at least three reporting periods. Corporate governance must then take action if events, reports or activities undermine this trend.<\/li>\n<li>Is a &#8220;watchdog&#8221; watching? A &#8220;watchdog&#8221; includes media, government, IRS, etc. If these are keeping an eye on the organization, the board needs to step in.<\/li>\n<li>Does the CEO want and need the board&#8217;s support? There is little debate on this point: if the CEO wants and needs board support, the board must provide it.<\/li>\n<\/ol>\n<p><a name=\"duties\"><\/a><\/p>\n<h3>Governance duties and responsibilities<\/h3>\n<p>In a perfect corporate world, all managers and employees know their <strong>duties and responsibilities<\/strong> and act responsibly; they are honest, hardworking people with a solid commitment to ethics and integrity.<\/p>\n<p>Unfortunately, this is not always the case and the board of directors is understood to be precisely that:<\/p>\n<blockquote><p>control and balance that supervises employees and all aspects of company operations.<\/p><\/blockquote>\n<p><strong>Corporate governance<\/strong> should avoid getting involved directly in daily concerns.<\/p>\n<p>Without being directly involved, boards should work closely with managers by providing guidance.<\/p>\n<p>Furthermore, corporate governance allows managers to develop their operational strategies and reviews them to ensure they are in line with overall planning.<\/p>\n<p>To recap,<strong> corporate governance<\/strong> is the &#8220;what&#8221; and includes:<\/p>\n<ul>\n<li>Determining mission, policy, and strategy<\/li>\n<li>Designating and supervising management<\/li>\n<li>Managing governance processes<\/li>\n<li>Providing insight, wisdom and judgment<\/li>\n<li>Monitoring the organization&#8217;s performance<\/li>\n<li>Identifying and strategically managing risk<\/li>\n<\/ul>\n<p><a name=\"management\"><\/a><\/p>\n<h2>Management&#8217;s role<\/h2>\n<p><img loading=\"lazy\" decoding=\"async\" class=\"aligncenter size-full wp-image-14294\" src=\"https:\/\/twproject.com\/blog\/wp-content\/uploads\/management.png\" alt=\"management\" width=\"1280\" height=\"853\" srcset=\"https:\/\/twproject.com\/blog\/wp-content\/uploads\/management.png 1280w, https:\/\/twproject.com\/blog\/wp-content\/uploads\/management-630x420.png 630w, https:\/\/twproject.com\/blog\/wp-content\/uploads\/management-1130x753.png 1130w, https:\/\/twproject.com\/blog\/wp-content\/uploads\/management-705x470.png 705w, https:\/\/twproject.com\/blog\/wp-content\/uploads\/management-450x300.png 450w\" sizes=\"auto, (max-width: 709px) 85vw, (max-width: 909px) 67vw, (max-width: 1362px) 62vw, 840px\" \/><\/p>\n<p><strong>Management structures<\/strong> can come in an infinite number of formats depending on company size and type.<\/p>\n<p>For all cases, <strong>management decisions<\/strong> support and implement the goals and values provided by the board of directors.<\/p>\n<p>Managers also make <strong>routine operational decisions<\/strong> and manage all the administrative work that makes operations run.<\/p>\n<p><strong>Management<\/strong> is virtually the <strong>bridge between corporate governance and lower-level executives<\/strong>.<\/p>\n<p>One of their duties is to communicate the board&#8217;s expectations to employees placed at lower levels of the operation.<\/p>\n<p>To achieve this, managers can break down<strong> corporate governance expectations<\/strong> into short- and long-term operational goals to see implementation through to completion.<\/p>\n<p>While the board creates <strong>corporate policies, management is responsible for enforcing corporate policy <\/strong>and holding employees accountable for their actions.<\/p>\n<p>Managers need a variety of skills that are significantly different from those of board directors.<\/p>\n<p>First and foremost, they need <strong>good motivational skills<\/strong> so that they can motivate staff and create a work environment where everyone thrives.
